Terms of Service

Effective: April 1, 2026

1. About Zipdine

Zipdine ("we," "us," "our") is a technology platform that enables restaurant patrons ("Diners") to browse menus, place orders, and pay at participating restaurants ("Restaurants"). Zipdine is a technology intermediary only — we are not a food service provider, restaurant, or food delivery service. All food and beverage orders are fulfilled exclusively by the Restaurant with which you placed your order.

2. Acceptance of Terms

By accessing or using the Zipdine platform (including scanning a QR code at a participating restaurant, browsing a menu, placing an order, or signing up as a Restaurant owner), you agree to be bound by these Terms. If you do not agree, do not use the platform.

3. Restaurant Owner Accounts

Restaurant owners who register for a Zipdine account ("Owners") agree to:

  • Provide accurate and complete registration information.
  • Keep login credentials confidential and notify us immediately of any unauthorized access.
  • Ensure their menu, pricing, and item availability are kept accurate and up to date.
  • Fulfill all orders placed through the platform promptly and in accordance with applicable food safety laws.
  • Comply with all applicable laws, including tax collection and remittance obligations.

Owners may not use the platform for any unlawful purpose or in any way that could harm Zipdine, its users, or third parties.

4. Diner Use

Diners use Zipdine to browse menus and place orders at participating restaurants. By placing an order, you:

  • Represent that you are of legal age to purchase any age-restricted items (including alcohol, where applicable).
  • Acknowledge that your order constitutes a contract between you and the Restaurant, not Zipdine.
  • Understand that all food preparation and service is the sole responsibility of the Restaurant.
  • Agree that tips are voluntary, go directly to the restaurant or its staff, and are non-refundable.

5. Payments and Platform Fees

All payments are processed by Stripe, a third-party payment processor. Zipdine does not store, transmit, or have access to full card numbers or other sensitive payment credentials. By making a payment, you also agree to Stripe's Terms of Service.

Zipdine charges Restaurants a platform fee per transaction as described in their subscription plan. This fee is deducted from each transaction before funds are disbursed to the Restaurant's connected bank account.

Refund policy: All refund and dispute requests are subject to the policies of the individual Restaurant. Zipdine is not responsible for issuing refunds. If you have a dispute, please contact the Restaurant directly. If you cannot resolve a dispute with the Restaurant, you may initiate a chargeback with your card issuer.

6. Intellectual Property

The Zipdine name, logo, platform, and all associated software are owned by Zipdine and protected by applicable intellectual property laws. Restaurant owners grant Zipdine a limited, non-exclusive license to display their menu content, restaurant name, logo, and related materials solely for the purpose of operating the platform.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ZIPDINE MAKES NO WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIPDINE DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Zipdine is not responsible for the quality, safety, legality, or accuracy of food and beverages served by Restaurants. All food-related representations are made by the Restaurant.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIPDINE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ZIPDINE IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100 USD.

IN NO EVENT SHALL ZIPDINE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zipdine and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the platform, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Zipdine reserves the right to suspend or terminate any account at its discretion, with or without notice, for any violation of these Terms or for any other reason. Upon termination, your right to use the platform ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in such courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify registered Restaurant owners by email. Continued use of the platform after changes become effective constitutes acceptance of the updated Terms.
